Terms & Conditions


(i) "The seller" means A.C.D. Plant Ltd
(ii) "The Buyer" means the person, firm or company shown overleaf as the "Invoicee"
(iii) "The goods" means the goods sold by the seller to the buyer.
(iv) "The Carrier" means the person, firm or company who deliver the goods to the delivery address and include the seller where the seller delivers.
(v) "The recipient" means the person, firm or company to whom the goods are delivered when it is not the buyer.


The title to and in the goods shall remain vested in the seller until such time as the price thereof shall have been paid in full notwithstanding delivery of the goods and acceptance thereof by the buyer, or recipient, but apart from such reservation all risks arising out of or attaching to the goods shall otherwise pass to the buyer or recipent.


The buyer, or recipient, shall receive and unload the goods and shall check the same quantity and condition in the presence of the carrier. If there is a shortage or the goods are in an unsatisfactory condition, the buyer or recipient must so endorse the carrier's. Delivery document and must give separate written notice thereof to the seller within three days of delivery. If this condition is noot observed, no claim in respect of shortage or of unsatisfactory condition of the goods will be entertained and the seller's liability is therefore limited accordingly.


The price charged will be the price ruling at the time of delivery, where this is at variance with the price quoted when the goods were ordered the buyer will be advised prior to delivery.


Where monthly account facilities have been granted to the buyer in writing, all invoices must be paid by the last day of the month following the month of delivery, where no such facilities have been graanted payment will be with order or where previously agreed on delivery. Where these facilities are exceeded the seller reserves the right to charge interest at the contemporary..... Bank Base Rate plus 3% on the outstanding balance.

6. LAW

The law of England shall govern the rights and obligations of the parties to this contract the construction of the same and so far as possible all other matters arising out of or connected with the making execution and termination of same.


Taking delivery of the goods or part thereof shall imply acceptance by the buyer of these conditions if he has not otherwise accepted the same.


These conditions have effect in substitution for, and to the exclusion of any conditions put forward by the buyer and no variation of them is valid unless in writing and authenticated by a duly authorised office of the sellers.


Any failure by the seller to enforce any or all of these conitions shall not be construed as a walver of any of the seller's rights hereunder.
